Agreement to Terms

By accessing and using the services provided by PhonoTech Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms govern your use of our website, DevOps services, AIOps solutions, MLOps workflows, and all related services (collectively, the "Services").

Description of Services

PhonoTech provides professional technology consulting services including:

• DevOps implementation and consulting services
• AIOps solutions and artificial intelligence operations
• MLOps workflows and machine learning operations
• Cloud migration and infrastructure management
• Monitoring, observability, and site reliability engineering
• Related technology consulting and support services

Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are representing a business or organization, you warrant that you have the authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

Service Agreements and SOWs

Specific services will be governed by separate Service Agreements and Statements of Work (SOWs) that will detail:

• Scope of work and deliverables
• Timelines and milestones
• Pricing and payment terms
• Service level agreements
• Data handling and security requirements

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not:

• Use the Services for any illegal or unauthorized purpose
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or networks
• Transmit any malicious code, viruses, or harmful content
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others

Intellectual Property Rights

The Services and all related content, including but not limited to text, graphics, logos, images, software, and methodologies, are the property of PhonoTech or its licensors and are protected by intellectual property laws.

You retain ownership of your data and content. By using our Services, you grant us a limited license to use your data solely for the purpose of providing the Services.

Confidentiality

We understand that you may share confidential information with us in the course of receiving Services. We commit to:

• Maintain the confidentiality of your information
• Use confidential information only for service delivery
• Implement appropriate security measures
• Not disclose information to unauthorized third parties

Payment Terms

Payment terms will be specified in individual Service Agreements. Generally:

• Fees are due as specified in the applicable agreement
• Late payments may incur additional charges
• You are responsible for all applicable taxes
• Disputed charges must be reported within 30 days

Service Level Agreements

We strive to provide reliable and high-quality services. Specific service level commitments will be detailed in individual Service Agreements, including:

• Availability and uptime guarantees
• Response time commitments
• Support coverage hours
• Remedies for service level failures

Limitation of Liability

To the maximum extent permitted by law, PhonoTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims related to these Terms or the Services shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless PhonoTech from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

Termination

Either party may terminate these Terms or any Service Agreement with appropriate notice as specified in the agreement. Upon termination:

• Your access to the Services will cease
• Outstanding fees remain due and payable
• Confidentiality obligations continue
• Data return or destruction will follow agreed procedures

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes will be resolved in the courts of Toronto, Ontario.

Changes to Terms

We may modify these Terms from time to time. We will provide notice of material changes and the updated Terms will be effective upon posting. Your continued use of the Services constitutes acceptance of the updated Terms.
